Ok, We all know that E21 seats can fit the front of a 2002. What about the back seats, any mods required (If a 633 rear seats can fit with a little persuasion, I don't see why not the e21s)

You wisdom is required for I have miss-placed mine.

The E-21 rear seat is a bit of a tight squeeze; I've done it. I put the rear seat of a 1978 320i into a prior '76 2002 I had. Here's the thing with the E-21 rear seat; either the rear seat backrest sits a couple of inches higher than the parcel shelf or the seat bottom extends a bit past the bottom kick panel. If the backrest section is flush with the parcel shelf then the seat bottom sticks out a bit; if the seat bottom is flush with the kick panel, then the backrest sits a bit higher than the parcel and the other thing is that the sides of the backrest are a bit "scrunched" dut to being the tight fit. With a little trimming of the E-21 rear seat padding and seat material, you can transfer both to the rear seat 2002 frame.

The e21 seat top actually has less vinyl than an '02, so you may need to get an upholsterer to add some extra vinyl and stretch it for you.

I say this, cuz this is what I did. After successfully installing my headliner and the e21 padding and vinyl to the '02 bottom frame, I just couldn't get the top done to my satisfaction. Brought it to an upholsterer and he charged me under $50 to add the vinyl (underneath on the bottom, so it's not visible when installed) and PROPERLY stretch the vinyl over the padding that I installed.

Humm.. What I did was get the fabric off the 320is's back seat and covered my original back support part thinggy with the fabric since it was the same as the recaros and that fixed the pacel self problem still the bottom seat is a bit of a tight sqeeze! lots of pushing and grunting involved. Hope this helps.
